Cadrant.ai Platform — Convergence Lab

ARTICLE 1 — SELLER IDENTIFICATION
These Terms of Sale (hereinafter "TOS") apply to any subscription to the Cadrant.ai platform, published by:

Convergence Lab is a French law company. Cadrant.ai is a SaaS (Software as a Service) web application generation platform.
ARTICLE 2 — SCOPE
These TOS exclusively govern the contractual relationship between Convergence Lab and any User (hereinafter "the Client") wishing to subscribe to the paid plan of the Cadrant.ai platform.
Any subscription implies full and unreserved acceptance of these TOS by the Client. The TOS prevail over any other document from the Client.
ARTICLE 3 — OFFERS AND PRICING
3.1 Freemium offer
Cadrant.ai offers free access to the platform including 15 free credits per day, renewed daily. This offer allows testing the platform's features without commitment or payment.
3.2 Monthly subscription
The paid subscription includes:
- Access to all Cadrant.ai platform features
- 400 monthly credits
- Application deployment on AWS
- Custom domain connection (Cloudflare)
- Supabase integration
- Source code download
- Customer support
Price: €20.00 incl. tax / month
Convergence Lab reserves the right to modify its prices at any time; new pricing conditions take effect at the next billing date after notification to the Client.
ARTICLE 4 — ORDER AND SUBSCRIPTION
Subscription to the Cadrant.ai plan is made exclusively online from the Client's personal dashboard. The subscription is final upon payment validation.
The Client will receive a subscription confirmation by email together with their invoice. Subscription renewal is automatic at each monthly term, unless previously cancelled by the Client.
ARTICLE 5 — PAYMENT
Subscription payment is made exclusively by credit card via the secure provider Stripe. The amount is automatically charged at the beginning of each monthly period.
In the event of payment failure, Convergence Lab reserves the right to suspend access to paid features until the situation is resolved. The Client will be informed by email of any payment difficulty.
ARTICLE 6 — RIGHT OF WITHDRAWAL
In accordance with article L. 221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of digital content not provided on a tangible medium whose performance has begun with the consumer's prior express consent.
However, Convergence Lab grants first-time subscribing Clients a cancellation right within 14 days of the initial subscription, with a full refund, provided that fewer than 100 credits have been consumed since the subscription.
To exercise this right, the Client must send a written request to: contact@cadrant.ai.
ARTICLE 7 — TERMINATION
7.1 By the Client
The Client may cancel their subscription at any time from their personal dashboard, without fees or penalties. Cancellation takes effect at the end of the current monthly period. No refund is granted for the current period.
7.2 By Convergence Lab
Convergence Lab reserves the right to terminate the Client's subscription in the event of a serious breach of the TOU or TOS, after a formal notice remaining without effect for 15 days.
7.3 Effects of termination
Upon termination, the Client retains access to the platform until the end of the paid monthly period. The Client has 30 days after termination to download their source code. After this period, data may be deleted.
ARTICLE 8 — CONVERGENCE LAB'S OBLIGATIONS
Convergence Lab undertakes to:
- Provide access to the Cadrant.ai platform in accordance with the service description
- Maintain applications hosted on AWS under appropriate security conditions
- Ensure service availability as far as possible
- Inform the Client of any planned interruption
- Respect the confidentiality of the Client's data
ARTICLE 9 — CLIENT'S OBLIGATIONS
The Client undertakes to:
- Provide accurate information when creating the account
- Use the platform in compliance with applicable laws and regulations
- Not use Cadrant.ai for unlawful purposes or purposes contrary to these TOS
- Ensure the confidentiality of their login credentials
- Pay amounts due on their due date
ARTICLE 10 — INTELLECTUAL PROPERTY AND DATA
The Client owns the source code of applications generated via Cadrant.ai and data stored in their Supabase account. Convergence Lab owns the Cadrant.ai platform, its algorithms and its interface.

ARTICLE 11 — LIMITATION OF LIABILITY
Convergence Lab's liability is limited to the amounts paid by the Client for the 3 months preceding the incident. Convergence Lab shall not be liable for indirect damages, data loss, loss of business or loss of revenue.
ARTICLE 12 — FORCE MAJEURE
Convergence Lab shall not be held liable for failure to perform its obligations in the event of force majeure within the meaning of article 1218 of the French Civil Code (natural disasters, third-party infrastructure failures, cyberattacks, etc.).
ARTICLE 13 — APPLICABLE LAW AND DISPUTES
These TOS are governed by French law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing this, the dispute shall be submitted to the competent courts within the jurisdiction of Convergence Lab's registered office.
In accordance with articles L. 616-1 and R. 616-1 of the French Consumer Code, the consumer Client may refer to a consumer mediator.
